Executive Summary
Capital One is no longer the credit-card lender we covered a year ago. With the May 2025 close of its $35.3 billion all-stock acquisition of Discover Financial Services, and the April 2026 close of its $5.15 billion acquisition of Brex, Capital One has transformed itself into something the U.S. banking system has not seen built from the inside in decades: a vertically integrated consumer-and-commercial bank that owns its own global payments network. It now controls the Discover, PULSE, and Diners Club rails — the only fourth network with national scale outside Visa, Mastercard, and American Express — and it has begun moving its own card and debit volume onto those rails, capturing interchange economics that used to leak to third parties.
